en cluf 1 Lea detenidamente el presente contrato de licencia de software (en lo sucesivo “licencia”) antes de utilizar el software GHC, tanto su versión de pago como la versión Lite gratuita, “demo” o GHC WEB APP (en adelante el Software). Si instala, copia o utiliza de cualquier modo este software estará aceptando las presentes condiciones. Este es un acuerdo legal entre usted, usuario final, persona física o jurídica (en adelante también EL USUARIO) y PEÑALARA SOFTWARE, S.L., sociedad mercantil española con domicilio en Segovia (España) en C/ Jardinillos de San Roque nº 5, 1ª planta, CP 40002 y CIF núm. B40247744 (en lo sucesivo PEÑALARA). PEÑALARA es titular exclusivo de los derechos de explotación del software generador de horarios para centros escolares GHC en cualquiera de sus modalidades. Carefully read the present software licence agreement (hereafter “licence”) before using the GHC software, both paid version, free Lite version, “demo” version, or GHC WEB APP (hereafter the Software). If you install, copy or use this software in any way, you accept these conditions. This is a legal agreement between you, final user, natural or legal person (hereafter THE USER) and PEÑALARA SOFTWARE, S.L., Spanish trading company located in Segovia (Spain) at C/ Jardinillos de San Roque nº 5, 1º, PC. 40002 and tax ID number (CIF) B40247744 (hereafter PEÑALARA). PEÑALARA is the exclusive owner of the exploitation rights of the GHC scheduling software for schools in any of its modalities.

PEÑALARA no será responsable en modo alguno de la veracidad, permisos obtenidos u origen de los datos a la web ni al software. En este sentido, PEÑALARA se obliga a respetar todas y cada una de las obligaciones que pudieran corresponderle como encargado del tratamiento de datos personales con arreglo a las disposiciones vigentes en materia de protección de datos de carácter personal y cualquier otra disposición complementaria o regulación que resulte aplicable. B78603495. Para cualquier otra subcontratación que implique el tratamiento de los datos de los que es responsable EL USUARIO, PEÑALARA deberá pedir a éste la previa autorización. en cluf 1 Informar al USUARIO de cualquier incidente o riesgo de seguridad del que tenga conocimiento y que potencialmente pueda afectar a la seguridad de la información, así como a cooperar con él en la investigación de incidentes o riesgos de seguridad, y a ejecutar las acciones que se acuerden para la resolución de las incidencias y la minimización de los riesgos, en su caso, detectados. The GHC software, its components, the rest of elements  (including images, audio, text and other elements that take part of the SOFTWARE), documentation attached thereof and any distinctive sign of both the company and the software itself, are property of PEÑALARA and, where appropriate, of the suppliers of PEÑALARA, retaining these the respective rights of intellectual and industrial properties, while they have not granted by this licence to the USER, specifically including the rights of reproduction, transformation, public communication and distribution in all possible forms of exploitation that are known at present or that may develop in the future.

en cluf 2 Cualquier técnica de ingeniería inversa, copiar (salvo lo expresamente permitido en esta licencia), descompilar, desensamblar el software o hacer intento alguno por descubrir su código fuente. Any reverse engineering technique, copy (except the expressly allowed in this licence), decompile, disassemble the software or make any attempt to discover the source code.

The use or utilisation of the software for the creation of timetables for natural or legal persons other than the one who acquired the licence.
en cluf 1 Cualquier intento de llevar a cabo cualquiera de las acciones no permitidas, enumeradas en este apartado, constituye una violación de los derechos de PEÑALARA y un incumplimiento grave del presente contrato, y podrá dar lugar a la pérdida de la licencia. Asimismo, cualquiera de estas acciones será perseguidas por parte de PEÑALARA ante los Juzgados y Tribunales de Segovia, en España, con renuncia expresa a otra que pudiera corresponderle legalmente. Any attempt to carry out any of the not allowed actions, enumerated in this section, constitutes a violation of PEÑALARA's rights and a serious breach of this contract, and may result in the loss of the licence. Also, any of these actions will be prosecuted by PEÑALARA before the Courts and Tribunals of Segovia, in Spain, with express resignation to another one that could correspond to it legally.

PEÑALARA se reserva el derecho a transferir el servicio de soporte técnico y mantenimiento a sus distribuidores, en cuyo caso se lo notificará al USUARIO por correo electrónico facilitándole los datos de contacto del distribuidor. Neither technical support nor maintenance include rights to classes, work days or hours of training. PEÑALARA reserves the right to transfer technical support and maintenance to its distributors, in which case the USER will be notified by e-mail providing him the contact details of the distributor.
en cluf 1 En el caso de que, por causas no imputables a PEÑALARA, el USUARIO no figure como USUARIO en la base de datos de aquella, este no tendrá derecho a recibir mantenimiento ni soporte técnico. In the case that, for reasons which cannot be attributable to PEÑALARA, the USER does not figure as USER in the database, he/she has not right to receive maintenance neither technical support.
en cluf 1 Se encuentran incluidas las actualizaciones que, dentro del año de duración de este servicio, lleve a cabo PEÑALARA con la finalidad de subsanar acciones o elementos que no estuvieran funcionando correctamente. This includes any updates that PEÑALARA may carry out within the year of duration of this service in order to correct actions or elements that are not working correctly.

en cluf 1 El USUARIO acepta que PEÑALARA recopile y utilice información técnica y otro tipo de información relacionada con el uso del software desde el equipo en el que ha sido instalado, entre la que se incluye, la identificación y características técnicas del equipo físico en el que se encuentra instalado el software y sistema operativo. en cluf 1 El USUARIO asume toda la responsabilidad derivada del mal uso o uso incorrecto del software, exonerando expresamente a PEÑALARA de cualquier responsabilidad al respecto. La elección del software adecuado para los resultados deseados por El USUARIO, así como su instalación y utilización fuera de las instrucciones dadas por PEÑALARA son de responsabilidad exclusiva del USUARIO. The USER assumes all the responsibility resulted from the incorrect use of the software, expressly exonerating PEÑALARA of any responsibility. en cluf 1 Sin perjuicio del régimen de responsabilidades establecidos por la legislación española, PEÑALARA no será responsable en ningún caso de los daños personales, lucro cesante o daño emergente, ni de cualquier otro tipo de daño que se produzca como consecuencia de accidente, un uso del software, o cualquiera de sus actualizaciones, incorrecto o distinto al permitido bajo la presente licencia, mal uso o abuso por parte del USUARIO, y con independencia de que se hubiera informado a PEÑALARA de la posibilidad de tales daños. Without prejudice to the liability regime established by the Spanish legislation, PEÑALARA will not be responsible in any way for any personal injury, loss of profits or emerging damage, or any other type of damage that occurs as a result of an accident, a software use, or any of its updates, incorrect or different from the one allowed under the current licence, misuse or abuse by the USER, and regardless that they had advised PEÑALARA of the possibility of such damages.
en cluf 1 PEÑALARA no se hace responsable de las posibles alteraciones o pérdidas de datos que se produjesen en el equipo del USUARIO, siendo este el único responsable de las correspondientes copias de seguridad. PEÑALARA aconseja al USUARIO realizar una copia de seguridad del ejecutable del software, así como una copia de seguridad diaria de todos los datos introducidos en él y alojarla en un soporte externo a la unidad donde se haya instalado el mismo. Peñalara no se hace responsable de posibles incompatibilidades (errores, problemas o incidencias) entre el software instalado en el equipo del USUARIO y el software de Peñalara tanto en su instalación como en su posterior uso. PEÑALARA will not take assume responsibility for any alteration or loss of data that occur on the computer of the USER, who is the only one responsible of the respective backups. PEÑALARA advises the USER to make a backup of executable software, as well as a daily backup of all data entered in it, and put up it in an external support to the drive where it is installed. Peñalara will not take assume responsibility for any incompatibility (errors, problems or incidents) between the software installed on the computer of the USER and the Peñalara software both installation and the subsequent use.

en cluf 1 Incumplimiento por parte del USUARIO de cualquiera de los pactos y obligaciones recogidas en la presente licencia. Breach of any of the covenants and obligations of this licence by the USER.
en cluf 1 Impago del precio del software, según la tarifa elegida por el USUARIO o, en su caso, de cualquiera de sus cuotas, lo que supondrá el desistimiento unilateral por parte del USUARIO y en tal caso, el software dejará de funcionar sin necesidad de aviso alguno por parte de PEÑALARA, quien no estará obligada a la prestación de cualquiera de los servicios a que se hubiera comprometido en virtud de la presente licencia o cualquier otro compromiso adicional. Non-payment of the software price, at the rate chosen by the USER or, where appropriate, any of its fees, which will mean the unilateral withdrawal by the USER and in such case, the software will stop working without notice by PEÑALARA, who is not obliged to provide any of the services to which it had agreed under this licence or any other additional commitments.

en cluf 1 Cada año PEÑALARA lanza nuevas versiones del software que conllevan mejoras e incorporan nuevas funcionalidades al mismo. Estas actualizaciones no se encuentran incluidas en el soporte técnico o mantenimiento al que durante un año tiene derecho el USUARIO y se precisa para las mismas una nueva contratación con su correspondiente licencia de uso, contra pago del precio correspondiente. Each year, PEÑALARA launches new versions of the software that contain improvements and incorporate new functionalities to it. These updates are not included in the technical support or maintenance that during a year the USER has right to, and a new contract with its pertinent licence is required, against payment of the corresponding price.
en cluf 1 Esta licencia no es, por tanto, aplicable a ninguna de las nuevas versiones que en el futuro realice PEÑALARA sobre el software licenciado. This licence is not, therefore, applicable to any of the new versions that PEÑALARA will carry out in the future about the licenced software.

en cluf 1 PEÑALARA le concede (no vende) una licencia de uso bajo los términos recogidos en este documento, del software de demostración GHC, y la documentación que lo acompaña. PEÑALARA se reserva todos los derechos no concedidos a usted de forma expresa. La versión demo está limitada para introducir un máximo de 10 profesores y 15 días de uso, es monopuesto, almacenándose la información que se introduzca o se genere en el equipo donde se encuentre instalado, y no es posible su funcionamiento mediante conexión en red. PEÑALARA grants you (does not sell) a licence of use under the conditions of this document, of the GHC software and its accompanying documentation. PEÑALARA expressly reserves all the rights not granted to you. The “demo” version of GHC software of PEÑALARA is free and is provided with the sole purpose that the USER could verify the operation and features of this software, it does not include maintenance neither technical support, nor updates; services that are included exclusively in the paid licences.
